This month American Outdoor Brands Corporation (NASDAQ: AOBC) will officially split into two separate companies, with the Smith & Wesson gun business becoming a stand-alone enterprise again. This action will create two independent, publicly-traded companies: Smith & Wesson Brands, Inc. (encompassing the firearm business) and American Outdoor Brands, Inc. (encompassing the outdoor products and accessories business). AOBC’s board of directors previously approved the separation of its outdoor products and accessories business into an independent, publicly-traded company.

Smith & Wesson Brands will effect the separation through a spin-off whereby it will distribute 100 percent of the shares of American Outdoor Brands common stock to Smith & Wesson Brands’ stockholders of record as of the close of business on the record date of August 10, 2020 on a pro rata basis. The distribution of American Outdoor Brands’ shares is expected to be completed effective as of 12:01 a.m. Eastern Time on August 24, 2020, with Smith & Wesson Brands stockholders receiving one share of American Outdoor Brands common stock for every four shares of Smith & Wesson Brands stock.

Following the spin-off, American Outdoor Brands will be a separate publicly-traded company independent from Smith & Wesson Brands. Smith & Wesson Brands will not retain any American Outdoor Brands common stock. Smith & Wesson Brands will continue to be listed on NASDAQ under the symbol SWBI. American Outdoor Brands has received approval for the listing of its common stock on NASDAQ under the symbol AOUT.

Background of the American Outdoor Brands Conglomerate
In August 2016, Smith & Wesson Holding Corporation bought Crimson Trace, a laser-sight manufacturer, for $95 million and Taylor Brands, a tool and knife maker, for $85 million. In November of that same year, the company bought UST Brands, a survival equipment maker, for $32.3 million. And Smith & Wesson acquired Battenfeld Technologies in 2015 for $130.3 million. Smith & Wesson diversified from firearms into sporting goods and accessories in hopes of insulating Smith & Wesson from the stock price volatility caused by the unpredictability of the gun business. This culminated in the decision to change the company’s name to American Outdoor Brands Corporation. However, despite the diversification, in 2017, firearms still accounted for 86% of American Outdoor Brands’s revenues.

Post-Spinoff Brand Line-Ups for SWBI and AOUT
Smith & Wesson Brands (SWBI) will now become firearm-centric, selling guns under the Smith & Wesson, M&P, Thompson/Center, and Performance Center brands. In addition, we believe SWBI will continue to make and sell Gemtech suppressors.

American Outdoor Brands markets a large number of product brands, including Bog (bipods/tripods), Caldwell (shooting accessories), Crimson Trace (weapons lights), Frankford Arsenal (reloading tools). Listed below are the product lines American Outdoor Brands Inc. will continue to sell as the new, separate AOUT company. A significant percentage of these brands remain gun-centric:

Bog — Manufactures tripods and shooting rests
Caldwell — Manufactures targets and shooting rests
Crimson Trace — Flashlight, Weapon light, and aiming device manufacturer
Frankford Arsenal — Manufactures reloading tools
Golden Rod — Manufactures dehumidifiers and moisture sensors for safes and lock boxes
Hooyman — Manufactures Landscaping tools and portable power saws
Imperial — Manufactures fixed and folding blade knives
Lockdown — Manufactures gun safes, lock boxes, gun locks, and accessories
M&P Accessories — Manufactures firearm accessories
Old Timer — Manufactures fixed and folding blade knives as well as accessories
Schrade — Manufactures fixed and folding blade knives as well as accessories
Tipton — Manufactures firearm cleaning accessories
Uncle Henry — Manufactures fixed and folding blade knives as well as accessories
Wheeler Engineering — Manufactures gunsmithing tools
Bubba — Manufactures knives, tools, and accessories for fishing

* Smith & Wesson Accessories — Manufactures firearm accessories
* Thompson/Center Accessories — Manufactures firearm accessories

Mark Smith Will Lead Smith & Wesson After Spin-Off
Upon successful completion of the spin-off, Mark Smith will become CEO of Smith & Wesson Brands, Inc.; Smith is currently the President of the Manufacturing Services Division of AOBC and supports all of its businesses. James Debney, current AOBC President and CEO, will lead the outdoor products and accessories company as CEO after the spin-off.

The Future of Smith & Wesson Brands, Inc. (Projections)
Headquartered in Springfield, Massachusetts, Smith & Wesson Brands, Inc. will continue its 168-year-old heritage of producing firearms (S&W was founded in 1852). This business’s handgun, long gun, and suppressor products are marketed under the Smith & Wesson®, M&P®, Performance Center®, Thompson/Center Arms™, and Gemtech® brands. Following the spin-off this month, Smith & Wesson Brands, Inc. is expected to generate revenue between $450 million and $500 million and adjusted EBITDAS between $90 million and $105 million in its first 12 months as an independent company.

* It is not clear whether Smith & Wesson Accessories and Thompson Center Accessories will be marketed under the same name after American Outdoor brands splits into two publicly-traded companies.

We’ve used a variety of target cam systems — When you get a good one, they are a great tool for training and load development, and just fun shooting.

Over the past five years we’ve tested many target cam systems. To be frank, some have been disappointing, but we think the Caldwell Target Cam System works well. A number of our Forum members have purchased this system and the reviews have been generally quite positive — image quality is good, reception is good, software is good, and storage cases work well. The only complaint is that the flexible camera arm can droop with time. READ Target Cam Forum Reviews.

Caldwell Target Cam Review by Nando-AS
“I have been using the Caldwell camera for over a year and it works great for me in every respect. I use it mainly at 600 yards, but I have also used it at 1000 yards successfully. In my case, as opposed to the experience posted by Snakepit (see below), the flexible arm that supports the camera is as tight as when it was brand new. The only thing that has broken so far is the plastic top on one of the two stakes supplied to steady the tripods to the ground. Instead of the stakes, I now use a couple of heavy shooting bags. I just place one bag over one of the legs of the tripod, and that is good enough.”

Target Cam Output with camera placed 600 yards from shooter:

Target Cam view at 600 yards: Blue ring is three inches, outer circle is six inches. I use a Samsung Tablet to display the image. I zoom in when actually shooting — so each target fills the screen.

Caldwell Target Cam Review by Shoot4Fun
“Caldwell Target Camera owner here. It comes neatly packed in a soft case and even has two stands for the camera/transmitter and the receiver units. I have only used it to 500 yards though they do call it a one-mile system. The resolution is very good and it has some neat features for capturing and labeling your targets. I did buy two Tallantcell USB packs to power it but it has internal batteries as well. The App works with my iPad or my iPhone and I’m sure there is an Android version too. I see them on sale from time to time at under $375 complete.”

Caldwell Target Cam Review by SnakePit
“I have the Caldwell Target Camera system and it works great. I mainly use it at 600 yards and the transmitter has enough power that I do not have to use the receiver at the bench for my tablet or cell phone. But Caldwell needs to do something with the flexible arm that holds the camera to the tripod. It becomes loose after a while and the camera wants to droop down. Caldwell sent me a replacement flexible arm but it is starting to have the same problem. You can get it to work when this happens but it can be a hassle. Other than that it is a great system for the price and I would buy another one.”

Important Features of a Target Cam System
Key qualities you’ll want in a target cam system are: ease of set-up, good video resolution, effective range (good signal quality/strength), good battery run-time, and the ability to use WiFi-enabled devices for viewing. Caldwell’s new Long-Range Target Camera offers all these things, making it an impressive new product for the price — $359.95 at Midsouth Shooters Supply. Some other target cam systems on the market cost twice as much, yet lack key features of the Caldwell system.

Watch Video, Record Video, Capture Stills, Measure Group Size and more…
The Caldwell LR Target Camera is very versatile, allowing you to both watch and record video and/or stills on any WiFi-enabled device. A free iOS/Android Mobile App allows you to record video, save still pictures, add notes, calculate group size, and save session info. This video shows the complete set-up process and how to use the free App. It shows actual Target Cam output on a WiFi-enabled tablet:

— High Definition (720p) camera delivers sharp image with good detail.
— WiFi output is compatible with Android, iPhone and most tablets.
— System can stream live HD video, record video, and save still images.
— Camera, transmitter, and receiver are contained in sturdy, waterproof housings.
— Breaks down into custom-fitted storage case for easy transport.
— Rechargeable Lithium-Ion batteries run system for up to 6 hours continuously.
— External power jack for more permanent installation.
— Target Camera Mobile App for iOS and Android devices.
— Includes two collapsible, tripod-base Antenna/router stands.

At the request of our readers, we provide select “Deals of the Week”. Every Monday morning we offer our Bargain selections. Here are some of the best deals on firearms, hardware, reloading components, and shooting accessories. Be aware that sale prices are subject to change, and once clearance inventory is sold, it’s gone for good. You snooze you lose.

1. Amazon — Caldwell Long Range Target Camera System, $367.70

A few Forum members have purchased this Caldwell Target Cam System and they’ve found that it works reliably, providing a clear signal to any WiFi-enabled mobile device (smartphone, iPad, Laptop). One member specifically tested the unit at 1000 yards and it functioned fine. NOTE: This system does NOT have a zoom camera lens, so you need to position the camera within 10 yards or so of the target. But if you place it to the side a bit, this shouldn’t be a problem. This system comes with a nice, fitted carrying case that holds camera, transceivers, antennas, and stands. You get a very capable system for under $400.00.

2. Natchez — Special 5 Reloading Press Kit, $199.99

This is an excellent entry-level reloading kit, which is on sale for $199.99 at Natchez Shooters Supply. We like the relatively compact Special 5 press for most reloading duties. Eventually you many want to add an additional large heavy press, but this will get the job done. This kit includes an RCBS Powder Measure, Digital Scale, Powder Trickler, Hand Priming Tool, Load Manual, Loading Tray, and more. It’s hard to beat this combination of tools for under $200.00.

3. Walmart — 14-gun Stack-on Gun Safe

If you need a smaller, secondary safe that can fit in a closet, here’s a 14-gun Stack-On Safe that is a great bargain right now. The safe is on sale at Walmart for $399.00 — nearly $200 off the regular price. And Walmart offers FREE shipping or FREE Pickup. Don’t expect this to hold anywhere near 14 scoped rifles — 8 or so long-guns will probably be the most you can fit comfortably. But that’s fine for a secondary “closet” safe that will also articles such as cameras, jewelry, and important documents. One verified safe purchaser states: “This safe is 300 pounds, not too hard to move around, took it home in my truck.”

4. Cabela’s — Lyman Turbo Sonic 1200, $69.99

Looking for a reliable ultrasonic cleaning unit at a rock-bottom price? Here’s a very good deal, $69.99 for the Lyman 1200 (this popular unit sells elsewhere for up to $110.00). Select four different dwell times with handy touch controls.

Here’s a nice little varmint rifle from Ruger with some nice features at a very attractive price, $389.99.
Over the past five years we’ve tested many target cams. Important qualities you’ll want in a target cam system are: ease of set-up, good video resolution, effective range (good signal quality/strength), and the ability to use WiFi-enabled devices for viewing. Caldwell’s new Long-Range Target Camera offers all these things, making it an impressive new product for the price — $357.02 at Midsouth Shooters Supply. If this target camera system proves rugged and reliable, then we predict it will be a big seller for Caldwell. (There are other target cam systems on the market that cost twice as much, yet lack key features of the Caldwell system). We recommend you watch the video — it shows the complete set-up process and how to use the free App.

This video shows system set-up and actual Target Cam output on a WiFi-enabled tablet:

The Ballistic Precision LR Target Camera by Caldwell is a complete kit with video camera, long-range trasmitter/antenna, base receiver, mounting stands, batteries, battery chargers, and fitted storage case. This system allows you to stream HD video to any WiFi-enabled smartphone, tablet, or laptop. Caldwell claims a range (in ideal conditions) of up to one mile. Based on our experience with similar systems, that may be a bit optimistic, but we see no reason why this could not be a solid 1000-yard system, given good line-of-sight from transmitter to receiver. This Caldwell system features both an elevated transmitter and an elevated receiver. That should provide good broadcast + reception capability over long range. An elevated transmitter works better in typical terrain than systems placed on the ground. The Caldwell LR Target Camera is so new that we have not yet tested it, so we can not verify range. But it appears that Caldwell did its engineering homework. We do wish, however, that Caldwell had shielded the camera in an armored housing.

The Caldwell LR Target Camera is very versatile, allowing you to both watch and record video and/or stills on any WiFi-enabled device. Rechargeable lithium ion batteries will run the target cam up to to 6 hours continuously. (For extended use there’s an external power jack). A free iOS/Android Mobile App allows you to record video, save still pictures, add notes, calculate group size, and save session info.

Caldwell LR Target Camera Features:
— High Definition (720p) camera delivers sharp image with good detail.
— WiFi output is compatible with Android, iPhone and most tablets.
— System can stream live HD video, record video, and save still images.
— Camera, transmitter, and receiver are contained in sturdy, waterproof housings.
— Breaks down into custom-fitted storage case for easy transport.
— Rechargeable Lithium-Ion batteries for extended use.
— External power jack for more permanent installation.
— Target Camera Mobile App for iOS and Android devices.

We use a brass catcher whenever possible when shooting AR-platform rifles. These things are great when you’re bench-testing your AR, and they are also handy on a squirrel safari or prairie dog trip. You don’t have to dig around in the dirt to find your brass.

Hate chasing brass ejected from your AR platform rifle? Well here’s a clever new accessory — a brass catcher that mounts easily to the Picatinny rail on top of your upper receiver. There are other types of brass-catching rigs on the market, but this is one of the best products we’ve seen for ARs with Picatinny rails. Caldwell’s AR Pic Rail Brass Catcher mounts easily with a quick-detach aluminum clamp. Both the clamp and wire frame are adjustable so they won’t interfere with your scope or scope mounts.

We like the quick-detach feature. This lets you quickly check and/or clear your chamber, or inspect the bolt. The bag itself, made from heat-resistant mesh fabric, will hold approximately one hundred .223 Rem cartridge cases. And here’s another nice feature — the bag has a zipper on the bottom so you can quickly dump your spent brass without having to remove the brass-catcher from your rifle.

– Compatible with most Picatinny rail-equipped AR-10s as well.

– Heat-resistant mesh bag holds 100 pieces of brass.

If you shoot an AR and reload your own ammo, you should get some kind of brass-catching device. With a $39.19 “street price” ($49.99 MSRP), this is one of the more affordable options. Once you use a rig like this and no longer have to pick up brass from the ground, you may get spoiled. Moreover, a brass-catcher like this will earn you “Brownie Points” with other shooters at your range who no longer have to dodge your hot brass.

The new-for-2014 Caldwell Crosswind Professional Wind Meter does much more than measure wind velocity. Along with Current Wind Speed, this device will measure and display: Average Wind Speed, Max Wind Gust, Temperature, Station Pressure, Barometric Pressure, Altitude, Density Altitude and even Wind Chill factor. Select among mph, ft/min, km/h, m/s, or knots for the wind speed units.

The swiveling impeller head (set parallel to barrel) allows you to determine an interpolated 90° crosswind value to use in your ballistics calculations. This eliminates a lot of guesswork.

You might say, “Why do I need a rotating head, I can just turn the whole wind meter to align the impeller axis with the wind?” Yes you can, but then you merely get a raw speed value, and you have to guesstimate the wind angle, and then calculate your actual windage correction based on the vector.

The rotating impeller ring on the Caldwell simplifies the job of calculating windage. The swivel head is designed to show an effective 90-degree crosswind value, no matter what the actual wind direction. Here’s how it works. Hold the unit with the display screen facing you. Then rotate the impeller head until it aligns with the barrel axis (bullet line of flight). The plastic shell surrounding the impeller is specifically designed so that the blades will spin faster or slower depending on the true wind angle. This allows the unit to estimate the effective 90-degree crosswind value (for your ballistics program). Pretty clever eh? See diagram to understand how this works:

This unit comes complete with rotating anemometer head, protective holster case, and one CR2032 battery. The unit has an auto “Power-Off” feature to preserve battery life. There is also a “Data Hold” function plus an LCD Backlight. NOTE: When figuring effective 90° crosswind values, Caldwell recommends using Average Wind Speed mode rather than Current Wind Speed.

Caldwell will be introducing a new chronograph in early 2014. By outward appearance, this is a fairly conventional unit, with optical (light-tripped) sensors and “V”-profile sky-screens with plastic diffusers supported by rods. However, the big news is the data output. The new Caldwell Ballistic Precision Chronograph can display shot data and string averages on iOS devices such as the iPhone and iPad. A software App allows you to save the data on your iPhone, and you can even export the data via email. That’s handy if you want to archive your test results in a spreadsheet.

Along with the iPhone/iPad display, Caldwell’s new chronograph features a front-facing display screen on the green, barbell-shaped chrono body. As with most other chronographs, the Caldwell unit records velocity of each shot, average velocity (of shot string), Standard Deviation, and Extreme Spread (difference in FPS of fastest shot and slowest shot). One nice feature of Caldwell’s new chronograph is that it can be calibrated. That sounds promising, but remember that to calibrate any chronograph you need test ammo with a very accurately determined baseline velocity. In any case, Caldwell asserts that this new Chronograph is more accurate than some other units on the market, because it runs a faster processor and because it has the calibration option. We haven’t tested the unit yet so we can’t verify claims of improved accuracy.

The Caldwell Ballistic Precision Chronograph comes as a complete package with carrying case, sky-screens, and data cable. No price has been announced, but we expect it to be under $150.00. Incandescent lamps, which are suspended above the sensors, will be available as an optional accessory. These lights permit the unit to be used indoors.

Android OS Capability in the Future?
Currently, the new Caldwell Chronograph is only able to send data to iOS (Apple) devices. However, the data cable is not Apple-specific, so there is a chance that we may see Android OS compatibility at some time in the future. At SHOT Show in January 2014 we’ll ask the Caldwell technicians about compatibility with Android smartphones and tablets.
