Sportsman’s Warehouse Merger with Bass Pro Cancelled

Big news in the Outdoor Sports retail industry — the Merger of Bass Pro with Sportsman’s Warehouse is NOT going to happen — the buy-out effort is halted. Under a planned merger deal, announced in late 2020, the Great American Outdoors Group, which now owns Bass Pro and Cabela’s, was going to purchase Sportsman’s Warehouse for $785 million. In 2017 Great American acquired Cabela’s for more than $4,000,000,000 (four billion). Great American (based in Missouri) was going to pay $18 a share for Sportsman’s Warehouse, a significant premium over the listed stock price. Sportsman’s Warehouse Holdings Inc. will now continue to operate independently from its HQ in West Jordan, Utah.

According to the Springfield Missouri News-Leader, the deal collapsed because of Federal Trade Commission (FTC) opposition, among other factors: “Nearly a year after Bass Pro entered into a merger agreement with Utah-based Sportsman’s Warehouse Holdings Inc., the deal is off, according to a federal filing dated Dec. 2 by Sportsman’s Warehouse. The filing stated that feedback from the Federal Trade Commission led both companies to believe that the deal would not get FTC approval.”

As listed in a Sportsman’s Warehouse SEC filing, Bass Pro’s parent company Great Outdoors LLC will pay Sportsman’s Warehouse $55 million to terminate the merger.

According to Bloomberg, the cancellation of the merger is related to a 2021 Executive Order by President Biden instructing Federal regulators to boost competition in retail industries. Bloomberg also noted Sportsman’s Warehouse stock dropped signficantly after the planned merger was canceled.

Jon Barker, President/CEO of Sportsman’s Warehouse Holdings, Inc., was disappointed that the Bass Pro merger did not go forward. However his company’s revenues are booming. According to SGB Online: “Sportsman’s Warehouse’s same-store sales surged 48.3% in fiscal year 2020 compared to fiscal year 2019. The gains were led by its hunting and shooting department, which showed a same-store hike of 70.0%. Hunting and shooting grew to account for 57.6% of Sportsman’s Warehouse’s sales in the year, up from 49.1% the prior year.”

Both Bass Pro and Sportsman’s Warehouse Have Billions in Revenue
Had the merger gone through, approximately 110 stores (and $1.45 billion in sales) would have been added to the Great American Outdoors Group retail empire. SGB Online reported: “According to Moody’s, Bass Pro had revenues in the twelve months ended September 26, 2020, of $7.1 billion. Sportsman’s Warehouse’s sales in 2020 were $1.45 billion.”

Sportsman’s Warehouse Acquisition by Great American Outdoors

The consolidation of the USA outdoor retail sector continues. The Great American Outdoors Group, which owns Cabela’s and Bass Pro, plans to purchase Sportsman’s Warehouse for $785,000,000 in cash. This means three of the biggest outdoor gear and shooting supplies vendors will all have the same parent company*. Great American (based in Missouri) will pay $18 a share for Sportsman’s Warehouse, a 42% premium over the stock price on 12/21/2020, and will remain private. The acquisition deal is expected to close in the second half of 2021. Sportsman’s Warehouse is currently based in West Jordan, Utah.

“The driving force behind the partnership is the two companies’ similar histories and highly complementary business philosophies and geographic footprints”, the companies said in a statement. “Both entities share a passion with their customers for fishing, camping, hunting, boating and other outdoor activities.”

American Outdoors said the acquisition will allow improved online ordering and faster product delivery, “by leveraging the combined company’s extensive network of distribution centers and stores[.]”

Will Gun Inventories Grow or Shrink? That Is Uncertain…
Will Sportman’s Warehouse continue to be a very good source for firearms and hunting gear, with attractive gun prices? That remains to be seen. The press release made no mention whatsoever of gun sales, though it did state that Cabela’s-brand hunting gear will be available. The company boasted about expanded product lines for fishing and boating:

Transaction Overview
The merger agreement was unanimously approved by the Sportsman’s Warehouse Board of Directors. The transaction, which is expected to close in the second half of 2021, will be completed through a cash merger and is subject to approval by Sportsman’s Warehouse’s shareholders, as well as regulatory approvals and other customary closing conditions. The transaction is not subject to any financing condition. The entities will continue to operate independently until the transaction closes.

Sportsman’s Team Challenge This Week on the Pursuit Channel

Speed on Steel. That’s what’s featured in the latest episode of Doug Koenig’s Championship Season on the Pursuit Channel. This week features steel courses of fire at the 2018 Sportsman’s Team Challenge (STC) National Championships in Ridgedale, Missouri. Teams shot plate racks and various steel targets set at distances from 10 to 90 yards. Adrenaline levels were high as fixed time limits were displayed on digital clocks. These steel stages tested competitors’ speed, accuracy, and rapid-loading skills. With over $125,000 in cash and prizes this year, competitors were highly motivated.

At this year’s STC, fifty teams competed in pistol, rifle, combo, and three different shotgun courses of fire. Competitors came from 14 states and three countries. The three-day event is a family-friendly celebration of community and teamwork, with shooters as young as eight years old in the Sub-Junior and Junior divisions. Colorful reactive targets and visible countdown timers make this multi-discipline event spectator-friendly. It’s a great experience for all competitors — from new shooters to top pros.

The STC was directed by 18-time NRA Bianchi Cup National Action Pistol Champion Doug Koenig — now in his third year at the helm of the STC. Koenig said this year’s Big Cedar Lodge venue, home of the Bass Pro Shooting Academy, is a “phenomenal location overlooking Table Rock Lake. [Big Cedar Lodge] demonstrated why it’s a world-class shooting facility … with its stunning vistas and close proximity to nearby entertainment capitol Branson, Missouri.” You can see the lake in this photo:

Johnny Morris, founder of Bass Pro Shops, purchased Big Cedar Lodge in 1987. This Missouri venue now serves as a Nature Park and the Bass Pro Shops’ Outdoor Shooting Academy.

CMP Air Rifle Match inside Bass Pro Shop in Alabama

Here’a a new twist. Earlier this month a CMP Air Rifle match, the Bass Pro 600, was held inside a shopping mall. This match featured a junior 3×20 match, as well as a 60-shot standing competition. The Tracker Boat section of the Bass Pro Shop of Leeds, Alabama was adapted to hold the CMP’s mobile range, so the young shooters could showcase their air rifle skills indoors. Some 24 electronic targets were set up in the boat garage, between permanent artificial swamp trees that decorate the area. Competitors traveled from several states to shoot in this unique indoor match, held January 4th and 5th. “The Bass Pro 600 is such a unique idea that many competitors travel to shoot in the event just for the novelty of the venue,” said James Hall, CMP program outreach supervisor.

Shoppers at the store could actually watch the young competitors in action. On Saturday, 42 junior competitors fired in a three-position match, while the store’s music played and shoppers stopped by to watch. Spectators were drawn over to the boating area, with 60-inch big-screen TVs displaying the scores in real-time.

Bass Pro patrons were also allowed to try their hand at air rifle shooting using a SCATT electronic training system, right beside competitors on the line. The photo below shows the trace captured by the SCATT machine. This tracks muzzle movement, helping shooters to steady their aim and chose the right moment to break the shot.

This is the second year the Bass Pro Shop in Leeds has opened its boating area for a CMP match. The success of these events have inspired many young shooters to attend the open range nights at the CMP Marksmanship Center in nearby Anniston, Alabama.

New National Sporting Arms Museum Opens August 2 in Missouri

The new 7500-square-foot Sporting Arms Museum will have over 1000 guns on display, including some of the most historically significant firearms from the NRA Museum Collection. The value of the collection is over $20,000,000!

Exhibits include original prototypes and paintings from the Remington Arms Company, shotguns from the American Trapshooting Association’s Hall of Fame, and the full collection of guns from the Pachmayr Foundation. There are many special displays, including a diorama showing replicas of firearms used on the Lewis & Clark expedition.

“Visitors to the NRA National Sporting Arms Museum are in for a treat. They’ll see firearms that figure significantly in the history of our country and trace the evolution of hunting and conservation,” said Bass Pro Shops founder Johnny Morris. “This museum houses a fantastic collection, from the firearms of Theodore Roosevelt and John Wayne to historic U.S. military pistols and engraved Colt revolvers of the Old West.
